Who these terms are between

These terms are between Depth Nepal (“BillSil”), a company registered in Nepal under registration number 363526/81/82, with its office at Suryabinayak-5, Bhaktapur, Nepal, and the business that subscribes to BillSil (“you”). If you sign up for a business, you confirm you are allowed to accept these terms on its behalf.

You accept these terms by subscribing, by signing an order form, or by using BillSil. Under the Electronic Transactions Act, 2063 (2008), accepting electronically is as valid as signing on paper.

What BillSil is

BillSil is point-of-sale and business-operations software for Nepali businesses. It lets you record sales and orders, manage inventory, staff and branches, track Udharo (credit) with reminders, send digital receipts by WhatsApp or email, and analyse your business. BillSil is a tool for recording and analysing your business. It does not run your business, and it is not an accountant, tax adviser or lawyer.

Your account and users

Every plan includes unlimited users and unlimited orders. You decide who gets access and what each person can see or do. You are responsible for activity under your account, for keeping log-in details private, and for removing access when someone leaves.

You must give us accurate business and contact details and keep them up to date.

Plans and fees

• Basic for food and hospitality businesses (restaurants, cafes, hotels, villas, tea and coffee shops) and for retail businesses (general retail, clothing, meat shops, hardware shops, kirana pasals). Prices for a 1-year term start at रू 8,000 or रू 6,000 depending on the group. Basic and Advanced Analytics are also available for a 6-month term at the prices shown on our pricing page.
• Advanced Analytics at रू 35,000 for a 1-year term. [State exactly how Advanced Analytics relates to Basic: added on top (you pay both) or a replacement that includes everything in Basic.]
• Customized Analytics at रू 5,00,000 per year, for larger enterprises. Its scope is set in a separate written order form, and if that form and these terms differ, the order form applies to that scope.

All prices are in Nepali rupees, and each price is for the term shown next to it (1 year or 6 months). Prices are [inclusive / exclusive] of Value Added Tax and any other tax that applies. Where a tax applies, we will show it on the invoice.

The price you pay is fixed for your current term. If we change prices, the new price applies from your next renewal and we will tell you at least [number, for example 30] days before.

Payment and renewal

Fees are payable in advance for each term (1 year or 6 months, as you choose), by [payment methods]. We will send an invoice or receipt for each payment.

Your subscription [renews automatically at the end of each term / renews only when you confirm]. We will remind you [number, for example 30] days before renewal.

If a payment is late, we will tell you and give you [number, for example 7] days to pay. After that we may limit or suspend access until the payment is made. We will not delete your data because of a late payment without giving you a chance to export it.

Cancelling and refunds

You can cancel at any time by emailing us. Your access continues until the end of the term you have paid for, and the subscription then ends without renewing.

Fees for a term that has started are [non-refundable / refundable within a set number of days]. [State the refund rule for 1-year and 6-month plans clearly.] Nothing in this section limits any right you have under Nepali consumer law.

Your data

Your business records stay yours. You give us permission to store and process them only to provide BillSil to you, as described in our Privacy Policy.

You can ask us to export your records at any time while your account is active, and for [number, for example 90] days after it ends. After that we delete or anonymise them, except where the law requires us to keep something.

You are responsible for the information you enter, including having a proper basis to record and contact your own customers, and for using Udharo reminders and receipt messages fairly and lawfully.

Tax, invoicing and legal duties

You are responsible for meeting your own tax, invoicing and record-keeping duties under Nepali law, including those set by the Inland Revenue Department. BillSil helps you record and analyse sales, but we do not promise that any bill or report produced by BillSil satisfies a particular legal or tax requirement unless we say so in writing. Using BillSil properly

• Do not use BillSil for anything unlawful, or to record transactions you know to be fraudulent.
• Do not send spam, or messages your customers would not reasonably expect, through receipts or reminders.
• Do not try to break, overload, copy or reverse-engineer the service, or get into accounts that are not yours.
• Follow the terms of the messaging services we connect to, such as WhatsApp.

If you break these rules, we may suspend or end your access. Where we can, we will warn you first.

Third-party services

Some features use third-party services, such as WhatsApp and email providers. We do not control them, and they may change or be unavailable. Their own terms apply to your use of them.

Support and availability

We provide support through [support channels and hours]. We work to keep BillSil available, but it may sometimes be unavailable for maintenance or for reasons outside our control. [Add an uptime commitment only if the team can meet it.] We may improve or change features over time, and will tell you about changes that significantly reduce what you have paid for.

Ownership of the software

BillSil, its software, design, name and logo belong to us or our licensors. Your subscription gives you a right to use BillSil for your own business during the term. It does not give you ownership of it, and you may not resell it.

Our responsibility to you

We provide BillSil with reasonable care and skill. Beyond what the law requires, we do not promise that it will be error-free or that it will meet every need of your business.

To the extent Nepali law allows, BillSil is not liable for indirect or consequential loss, such as lost profit or lost business, and our total liability for any claim is limited to the fees you paid for the term in which the claim arose. Nothing in these terms excludes liability that cannot be excluded by law, including for fraud or for death or personal injury.

Please keep your own copies of anything critical to your business.

Ending the agreement

Either of us may end the agreement if the other seriously breaks it and does not fix the problem within [number, for example 15] days of written notice. We may end it immediately if you use BillSil unlawfully. When it ends, the sections on data, ownership, liability and disputes continue to apply.

Governing law and disputes

These terms are governed by the laws of Nepal. If a dispute arises, we will first try to settle it in good faith by talking. If that fails, [choose one: the courts of Kathmandu have jurisdiction / the dispute goes to arbitration under the Arbitration Act, 2055 (1999) in Kathmandu].

Changes to these terms

We may update these terms. We will post the new version here with a new date, and email account holders about significant changes at least [number, for example 30] days before they apply. If you do not agree, you can cancel before they apply.

General

These terms, together with any order form and our Privacy Policy, are the whole agreement between us about BillSil. If a part is found unenforceable, the rest still applies. If we do not enforce a right straight away, we have not given it up. You may not transfer your rights under these terms without our written agreement.
